News Update: Two Years In, The Battle For Control of Sika Rages On

Two years after France’s Saint-Gobain launched its hostile takeover bid for Sika, one of the largest suppliers of construction chemicals to the US market, the fight over control of Sika remains as contentious as ever. In 2014, Saint-Gobain offered approximately $2.8 billion to Sika’s founding Burkard-Schenker family, which owns 16 percent of Sika but controls 53 percent of the voting rights. However, Sika’s management has fought the deal, with CEO Jan Jenisch promising to resign should the deal go through. Seeking to block the sale, the Sika board has sought the support of other major shareholders in opposing the takeover, including the Bill and Melissa Gates Foundation Trust. Most recently, Saint-Gobain suffered a major setback when a Swiss court ruled in October 2016 that the directors of Sika were entitled to block the company’s family owners from selling their stake to Saint-Gobain. This fight remains far from over, however, as Saint-Gobain and the Burkard-Schenker family will appeal to a higher court.

Key Findings in the Construction Chemicals Study

Double-digit growth in building construction spending will drive construction chemicals demand

US demand for construction chemicals used in on-site applications is projected to grow 8.2 percent per year through 2018 to $12.1 billion. Gains will be primarily driven by double-digit increases in building construction expenditures, supported by an ongoing economic expansion and an improving consumer financial outlook. Increased economic activity and greater government investment in the aging infrastructure of the US will also support healthy consumption of construction chemicals in nonbuilding applications. The product mix will continue to shift toward new, higher value formulations and technologies as the market adapts to environmental regulations and more stringent building codes.

Following several years of recovery, the US housing market will support gains in new residential construction activity. Consumer preference for greater numbers of windows, for larger kitchens, and for decks will boost consumption of grouts and mortars, caulks and adhesives, and coatings and sealers. Demand for on-site construction chemicals in residential improvement and repair applications will also rise as more financially secure consumers invest in updating and maintaining their homes.

High value formulations of construction chemicals will gain market share

Across the entire construction chemicals market, higher value formulations will continue to gain share in many product segments in response to both environmental and performance concerns. For example, volatile organic compound (VOC) regulations have been enacted at both the federal and state level, reducing demand for solvent-based formulations. This trend will be further intensified by consumer preferences for low odor and easy cleanup water-based products. The transition toward better performing, longer lasting products will boost the value of the construction chemicals market going forward, though the decreased replacement frequency and volume of chemicals required will serve as a check on further growth.

Infrastructure investment to boost construction chemicals demand in the transportation market

Greater economic activity will also require increased investment in infrastructure, both public and private, particularly for the US’ aging transportation network. This trend will support healthy growth in nonbuilding construction chemicals demand, especially for cement and asphalt additives and coatings. Growing demand for chemical additives and coatings will also result from the increasing use of new concrete technologies that offer superior performance and ease of placement, such as high performance concrete and self-consolidating concrete.
